Non-Disclosure Agreement, NDA

Purpose: Ensures that all information provided by the brand owner (e.g., design drawings, technical specifications, business plans) is used solely for the purpose of collaboration and is not disclosed to third parties.

Key Terms:

Defines the scope of “confidential information,” including verbal, written, and electronic materials.
Limits the factory’s use of confidential information strictly to the current collaborative project.
Establishes a confidentiality period (typically 3-5 years or as required by the project).

Intellectual Property Agreements, IPA

Purpose:
To ensure all intellectual property developed during the collaboration belongs exclusively to the client.

Key Terms
Ownership of designs, patents, and trademarks remains with the client.
Factory is prohibited from applying for related IP registrations.
Confidentiality of all technical details is maintained.
Clear consequences for breaches, including legal or financial penalties.

Exclusive Design Agreement

Purpose: Ensures that the factory does not use the same or similar designs for other clients or markets.

Key Terms:
• Specifies the exclusivity of certain designs, products, or technologies for the brand owner’s use.
• Defines the scope of exclusivity (e.g., geographic or time limitations).
• Outlines liabilities for any breach of agreement, such as compensation clauses.

GDPR Compliance Clause

Purpose: Protects sensitive information and data provided by the brand owner in compliance with the General Data Protection Regulation (GDPR).

Key Terms:
• Ensures the factory adheres to GDPR requirements regarding data security and privacy.
• Restricts unauthorized access to and processing of customer data.
